upgrade from windows 32 bit to 64bit

We are a small business that runs Oracle 10.2.0.3.0 SE on a 32 bit Windows server. It has been running great for almost 7 years. Well I want to move to a new box and would like to upgrade to a 64 bit box. First off are there any issues that i should be aware of when moving to 64 bit. Second should;d i make the jump to version 11 or stay within my same version? Thanks for your help.
