root.sh failure in ORACLE GRID INFRASTRUCTURE 11.2

Can anybody help in identifying the problem I am getting running the root.sh while installing & configuring ORACLE GRID INFRASTRUCTURE 11.2 for a 2 node ( rhel5 ).

I got the following error in node 1:

PROT-1: Failed to initialize ocrconfig
Command return code of 255 (65280) from command: /u01/app/grid_home/bin/ocrconfig -upgrade oracle dba
Failed to create Oracle Cluster Registry configuration, rc 255
CRS-2500: Cannot stop resource 'ora.crsd' as it is not running
CRS-4000: Command Stop failed, or completed with errors.
Command return code of 1 (256) from command: /u01/app/grid_home/bin/crsctl stop resource ora.crsd -init
Stop of resource "ora.crsd -init" failed
Failed to stop CRSD
===================================================

I am using EMC storage for the cluster.
I have checked all the permissions and they are fine, 'root' has access to all 'oracle' folders and vice-versa. all SSH pinging is working as well.
