Migration from Enterprise edition to Standard Edition

Hi,

DB version :10.2.0.4 (production database)
OS version :windows 2003 Std edition 64 bit.

how to migrate database from enterprise edition to standard edition.
1)cold backup will be sufficient?

or any way to migrate with best way> will be any impact after migrating.

will be appreciated fro right answers.
