Installation issues with ODP.Net on Win 7 64 bit

My objective is to connect to Oracle from Silverlight thru RIA.
Unfortunately there is no Oracle XE 64bit, so started with Oracle Enterprise Manager.
I am having issues with the proper installation of Oracle Enterprise Manager/ODP.Net.
This is for Windows 7, 64bit.
Step 1:*
I have downloaded Oracle 11g2 Enterprise Edition from :
http://www.oracle.com/technetwork/database/enterprise-edition/downloads/112010-win64soft-094461.html
after installing this with the SQL Plus i was able to connect to Oracle and it works fine.
Step 2:*
I downloaded Oracle Client from :
Oracle Database 11g Release 2 Client (11.2.0.1.0) for Microsoft Windows (x64)
made sure the ORACLE_HOME is the same.
Installation went on fine but the SQL PLus launched from here did not work.
Where as SQL Plus launced from the Enterprise Manager did work fine.
Step 3:*
I downloaded ODP.Net from :
http://www.oracle.com/technetwork/database/windows/downloads/index-090165.html
which is 64-bit ODAC 11.2 Release 3 (11.2.0.2.1) for Windows x64 .
And once i did step3, installing all ODP.Net Components,
the issue started, i was uable to log on to Oracle thru SQL Plus thru Enterprise Manager.
It kept on saying Listner Error.
I was unable to start the Listener from the Services/command prompt.
I did a deinstall, it did not work properly.

When re-installed again, Enterprise Manager works fine, i am able to login thru SQL Plus
(tho it states SQL*Net not properly installed,as i have not installed the client second time, this happens when logging thru PL/SQL Developer)
Again running the XCopy brings down the Enterprise Manager, and SQL Plus....!
My Question are :*
(1)I get into the issue only after installing ODP.Net(XCopy), is there a know bug, or am i doing something wrong here ?
(2)Is it that i am passing wrong argumes to the xcopy tool?
When running the first installation i did :
install.bat all c:\oracle OraDb11g_home1*
After uninstalling and reinstalling, i changed the paramereters like :
install.bat odp.net4 C:\app\LALA\product\11.2.0\dbhome_1 OraDb11g_home1*
but doing this i get error saying :
Access is denied.
+'configure.bat' is not recognized as an internal or external command,+
operable program or batch file.
