DM AGENT.EXE Application Error

Has anyone seen this?
The instruction at 0x020fd205 could not be read

I am running the setup exe on a Windows 7 machine for the first time.

It works fine on XP.

I also tried running in compatibility mode.

Any help would be appreciated
